- 부동산 신탁과 부동산 명의신탁의 차이 - 민법, 세법의 관점에서 - -
부동산 신탁과 부동산 명의신탁을 민법의 관점에서 살펴보면 다음과 같은 차이가 있다. 첫째, 신탁의 목적과 관련하여 부동산 신탁에서 자 익신탁의 설정이 허용되는 반면, 부동산 명의신탁은 일부 예외를 제외 하면 명의신탁자의 이익을 위해 설정되는 것이 허용되지 않는다. 또한 신탁법상 반사회적인 신탁이나 위법한 신탁은 무효로서 선의의 제3자 에도 대항할 수 있는 반면, 부동산실명법상 명의신탁약정과 그에 기초 한 물권변동은 무효이지만 제3자에 대항할 수 없다. 둘째, 신탁 약정을 살펴보면 부동산 신탁은 신탁 목적의 달성을 위해 수탁자의 일정한 역 할을 전제하고 그 범위가 광범위한 반면, 부동산 명의신탁은 명의수탁 자의 역할이 전제되어 있지 않고 당사자 간 약정에 의하더라도 그 범 위는 제한적이다. 또한 부동산 신탁의 약정은 유효인 반면, 부동산실명 법에 따라 부동산 명의신탁의 약정은 무효다. 셋째, 신탁재산에 대한 소유권을 살펴보면 신탁법에 의한 신탁은 대내외적으로 소유권이 수탁 자에게 완전히 이전되는 점에서 대내적 관계에서 신탁자가 소유권을 보유하여 이를 관리 수익하는 명의신탁과 구분된다. 넷째, 신임관계와 수탁자의 주의의무를 살펴보면 부동산 신탁의 수탁자는 충실의무를 지 며 위임계약상 상호해지의 자유가 그대로 적용되지 않는 반면, 명의신 탁약정은 특약이 없는 한 위임 규정이 준용된다. 또한 부동산 신탁과 부동산 명의신탁을 세법의 관점에서 살펴보면 다음과 같은 차이가 있다. 첫째, 부동산 신탁에 대해서는 신탁과세이론 에 기초하여 설명할 수 있는 반면, 부동산명의신탁은 신탁과세이론이 논의될 여지가 없다. 둘째, 취득세에서 부동산 신탁은 신탁의 유형에 관계없이 일률적으로 입법에 의해 과세 관계를 정하는 반면, 부동산 명의신탁은 해석에 의하고 있다. 위탁자와 수탁자 간 이전에 대해 비과 세하는 결과는 부동산 신탁과 부동산 명의신탁이 동일하지만 그 근거 는 차이가 있다. 셋째, 양도소득세도 부동산 신탁에서 위탁자에서 수탁 자로의 이전을 원칙적으로 양도로 논리 구성하는 반면 부동산 명의신 탁은 양도 자체가 성립될 여지가 없다. 넷째, 보유세는 신탁법 이론이 나 세법상 사실상 소유자 개념과 무관하게 부동산 신탁의 납세의무자 를 위탁자로 규정하고, 부동산 명의신탁의 납세의무자는 그 실질에 따 라 대체로 명의신탁자가 되어 결과적으로는 부동산 신탁의 납세의무자 와 유사하다. 부동산 신탁의 경우 신탁법상 법률관계를 기초로 하기 때문에 신탁 법이론과 신탁과세이론이 대체로 조화롭게 신탁 세제에 반영된 것으로 볼 수 있지만, 위탁자를 재산세 납세의무자로 보는 규정은 세법상 사실 상의 소유자 개념이나 신탁법 이론에도 부합하지 않고, 조세회피나 체납 문제에 있어서 재고가 필요하다.
The difference between real property trust and real property title trust - From the perspective of the civil law and tax law
When looking at real estate trust and real estate title trust from the view of civil law, there are the following differences. First, with respect to the purpose of trust, the establishment of a self-interest trust is permitted in a real estate trust, whereas a title trust in real estate is not allowed to be established for the benefit of the title trustor, with some exceptions. In addition, under the Trust Act, anti-social trusts or illegal trusts are invalid and can fight against a bona fide third party. Second, looking at the trust agreement, a real estate trust presupposes a certain role of the trustee to achieve the purpose of the trust and the scope is wide, whereas in a real estate title trust, the role of the title trustee is not premised and the scope is limited even by the agreement between the parties. Also, while the agreement of a real estate trust is valid, the agreement of a real estate title trust is invalid. Third, looking at the ownership of trust property, a trust according to the Trust Act is differentiated from a title trust in which the trustee holds the ownership in an internal relationship in that the ownership is completely transferred to the trustee both internally and externally. Fourth, looking at the trust relationship and the trustee's duty of care, the trustee of a real estate trust has the duty of fidelity and the freedom of mutual termination does not apply to real estate trust, whereas the delegation rules apply to title trust agreement without a special agreement. Also, looking at real estate trust and real estate title trust from the perspective of tax law, there are the following differences. First, the real estate trust can be explained based on the trust taxation theory, whereas the real estate title trust has no room to discuss the trust taxation theory. Second, in the case of acquisition tax, real estate trusts uniformly clarify the tax relationship by legislation regardless of the type of trust, whereas real estate title trusts rely on interpretation. The result of exempting the transfer between the trustor and the trustee is the same for real estate trusts and real estate title trusts, but the grounds are different. Third, in case of transfer income tax in real estate trusts, in principle, logically transfer from trustor to trustee exists, whereas in real estate title trust, there is no room for transfer itself. Fourth, in the ownership tax it stipulates that the taxpayer of a real estate trust is the trustor regardless of the concept of the owner in the theory of the trust law or the tax law, and the taxpayer of the real estate title trust becomes the trustor, and consequently, is similar to the taxpayer of the real estate trust. In the case of a real estate trust, since it is based on the legal relationship under the Trust Act, it can be seen that the trust law theory and the trust taxation theory are generally harmoniously reflected in the trust tax. The rule of the taxpayer in the ownership tax does not meet to the concept of an actual owner or the trust law theory, and it is necessary to reconsider in tax evasion or arrears issues.
